1. Acceptance of terms

These Terms & Conditions (“Terms”) govern access to and use of Eternal Legacy (the “Service”), a white-label memorial page platform provided to funeral homes, memorial care providers, hospices, and similar organizations (“Customer,” “you”). By creating an account, subscribing to a plan, or otherwise using the Service, you agree to be bound by these Terms on behalf of yourself and the business entity you represent.

2. Description of service

Eternal Legacy lets Customer create and host branded memorial pages on behalf of the families it serves, including photo and video galleries, guestbooks, QR-linked physical keepsakes, and related tools. Customer, in turn, may make the Service available to the families and individuals it serves (“End Users”).

3. Eligibility & account registration

• You must be an authorized representative of a licensed funeral home, memorial care provider, or similar organization to create a Customer account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must provide accurate, current information during registration and keep it up to date.

4. Subscriptions, billing & free trials

• Paid plans are billed in advance on a recurring basis (monthly or annually, as selected) and automatically renew until cancelled.
• Free trials, where offered, convert to a paid subscription at the end of the trial period unless cancelled beforehand.
• Fees are exclusive of applicable taxes, which you are responsible for unless you provide a valid exemption.
• We may change subscription pricing with at least 30 days' notice before it applies to your next billing cycle.
• Except where required by law, fees already paid are non-refundable.

5. Content ownership & license

Photos, videos, stories, and other content that Customer or an End User uploads (“Memorial Content”) remains owned by the person or family who contributed it. By uploading Memorial Content, Customer and each End User grant Eternal Legacy a worldwide, non-exclusive license to host, store, back up, display, and transmit that content solely for the purpose of operating and providing the Service.

Customer grants Eternal Legacy permission to display Customer's business name and branding within the Service as necessary to operate Customer's branded pages. Eternal Legacy retains all rights to its own platform, software, design, and trademarks.

6. Acceptable use

You agree not to use the Service to:

• Create fraudulent, defamatory, or misleading memorial pages, or impersonate a deceased person or their family without authorization;
• Post content that harasses, threatens, or is otherwise abusive toward the deceased, their family, or other users;
• Upload content that infringes another party's intellectual property or privacy rights;
• Attempt to interfere with, disrupt, or gain unauthorized access to the Service or its underlying systems.

We may remove content or suspend accounts that violate this section, with notice where reasonably practicable given the sensitive nature of the content involved.

7. Data protection & privacy

Our collection and use of personal data in connection with the Service is described in our Privacy Policy. Customer is responsible for obtaining any consents required from End Users before submitting their personal information or Memorial Content to the Service.

8. Service availability

We aim to keep the Service available and reliable, but it is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted or error-free operation and may perform scheduled or emergency maintenance from time to time.

9. Term & termination

• Either party may terminate a subscription for convenience at the end of the then-current billing period.
• We may suspend or terminate an account immediately for material breach of these Terms, including violations of Section 6 (Acceptable Use) or non-payment.
• Upon termination, Customer may request an export of its Memorial Content for a period of 30 days, after which it may be deleted from our systems.

10. Limitation of liability

To the maximum extent permitted by law, Eternal Legacy will not be liable for any indirect, incidental, special, or consequential damages arising from use of the Service. Our total liability for any claim arising out of these Terms will not exceed the fees paid by Customer in the 12 months preceding the claim.

11. Indemnification

Customer agrees to indemnify and hold Eternal Legacy harmless from claims arising out of Customer's or its End Users' use of the Service, violation of these Terms, or infringement of any third party's rights through Memorial Content it submits.

12. Governing law

These Terms are governed by the laws of [your governing jurisdiction], without regard to its conflict of law principles. Any disputes will be resolved in the courts located in that jurisdiction, unless otherwise required by applicable law.

13. Changes to these terms

We may update these Terms from time to time. If changes are material, we will notify Customer by email or through the Service before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
